Terms of Service

These Terms of Service govern your access to and use of flatironfoundry.ai and the content, tools, and features made available through it (the "Site"), operated by Flatiron Foundry ("Flatiron Foundry," "we," "us," or "our").

By accessing or using the Site you agree to these terms. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization.

Flatiron Foundry provides brand strategy and growth consulting, AI-native software development, business analytics implementation, and technology diligence for transactions, along with software products we build and operate.

Nothing on the Site constitutes an offer to perform services. Client engagements are governed exclusively by a signed master services agreement and statement of work, which set out scope, fees, deliverables, ownership, warranties, and termination. Where those documents conflict with these terms, the signed agreement controls for the engagement.

Insights, research, articles, frameworks, benchmarks, and other material on the Site are provided for general informational purposes. They are not professional, legal, tax, financial, or investment advice, and they are not a substitute for tailored counsel. Do not act on Site content without engaging appropriate advisors for your circumstances.

The Site may offer an AI assistant. Its responses are generated automatically, may be incomplete or inaccurate, and should be independently verified before you rely on them. Using the assistant does not create a client relationship.

Do not submit confidential, regulated, or personally sensitive information to the assistant. Your inputs are processed by a third party model provider as described in our Privacy Notice.

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable regulations.
• Submit false, misleading, or impersonating information through our forms.
• Scrape, crawl, harvest, or otherwise extract Site content by automated means without our written permission, including to train machine learning models.
• Probe, scan, or test the vulnerability of the Site, or bypass any access, rate limiting, or security control.
• Introduce malware or interfere with the operation, availability, or integrity of the Site.
• Reproduce, distribute, resell, or create derivative works from Site content except as expressly permitted.

The Site and all content on it, including text, graphics, logos, marks, imagery, layouts, software, and research, are owned by Flatiron Foundry or its licensors and are protected by intellectual property laws. The Flatiron Foundry name and logo may not be used without our prior written consent.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and download Site content for your internal, non-commercial reference, provided you retain all proprietary notices. All other rights are reserved.

If you send us feedback, ideas, or suggestions about the Site or our services, you grant us a perpetual, irrevocable, worldwide, royalty free license to use them without restriction or compensation. You are responsible for ensuring you have the right to share anything you submit and that it does not infringe the rights of others.

Information exchanged during a service engagement is handled under the confidentiality provisions of the applicable signed agreement, and those obligations survive its termination. Unsolicited material submitted through the Site before an agreement is in place is not treated as confidential, so please do not send sensitive material until an engagement is documented.

The Site may link to or integrate third party websites and services that we do not control. We provide those links for convenience and do not endorse or assume responsibility for their content, terms, availability, or privacy practices. Your use of a third party service is governed by that provider's terms.

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error free, secure, or that content is accurate, current, or complete.

To the fullest extent permitted by law, Flatiron Foundry and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from or relating to your use of the Site. Our aggregate liability relating to the Site will not exceed one hundred US dollars, or, where a claim arises from a paid engagement, the amount you paid for the specific service giving rise to the claim under the applicable agreement.

You agree to indemnify and hold harmless Flatiron Foundry and its personnel from any claims, damages, liabilities, and reasonable legal fees arising out of your use of the Site, your violation of these terms, or your infringement of any third party right.

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also suspend or terminate your access at our discretion, including for conduct we believe violates these terms or is harmful to others or to our business. Provisions that by their nature should survive termination will survive.

These terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. You and Flatiron Foundry submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

Before filing a claim, you agree to contact us so we can attempt to resolve the matter informally. Any claim relating to the Site must be brought within one year after it arises, to the extent permitted by law.

We may revise these terms from time to time. The "Last updated" date above reflects the most recent version, and changes take effect when posted. Your continued use of the Site after an update constitutes acceptance of the revised terms.
